1. Applicability

This User Agreement along with Terms of Service (collectively, the "User Agreement") forms the terms and conditions for the use of services and products of Rubronix Plastseal Pvt. Ltd. and its subsidiaries/affiliates (hereinafter “Rubronix Plastseal Pvt. Ltd.”).
  1. Any person ("User") who inquires about or purchases any products or services of Rubronix Plastseal Pvt. Ltd. through its websites, salespersons, offices, call centers, agents etc. (collectively “Sales Channels”) agrees to be governed by this User Agreement.
  2. Both User and Rubronix Plastseal Pvt. Ltd. are individually referred to as 'Party' and collectively as 'Parties'.
  3. “Terms of Service” available on Rubronix Plastseal Pvt. Ltd. website detail terms & conditions applicable on various services or products facilitated by Rubronix Plastseal.

2. Eligibility to Use

  1. The User must possess the legal authority to enter into an agreement and use the services of Rubronix Plastseal Pvt. Ltd.
  2. Before using the Website or approaching any Sales Channel, the User must read and accept this User Agreement. If the User does not agree, they must not access Rubronix Plastseal’s services.
  3. All rights and liabilities of the User and Rubronix Plastseal Pvt. Ltd. shall be restricted to the scope of this User Agreement.

3. Content

  1. All content provided through Sales Channels (audio, images, software, text, icons etc.) is protected under intellectual property laws. Users cannot use this content except as specified.
  2. Users must follow instructions provided by Rubronix Plastseal Pvt. Ltd. regarding content usage.
  3. Logos, service marks and trademarks displayed are proprietary. No license is granted for use.
  4. Rubronix Plastseal Pvt. Ltd. respects intellectual property rights of others. If infringement is noticed, a written notice with details (work, location, proof, and contact information) must be sent to tejpal.singh@rubronixplastseal.com.

4. Website Usage

  1. The Website is meant for lawful use by bonafide Users.
  2. Users shall not distribute, sell, or modify Website content for commercial purposes.
  3. Access to certain features may require registration with true and accurate information.
  4. Rubronix Plastseal Pvt. Ltd. may terminate access anytime without notice for maintenance or other reasons.
  5. The Company will attempt to ensure the Website is free of viruses, but usage is at the User’s risk.
  6. The Company may update or improve the Website without prior notice.

5. Security and Account Information

  1. Users are responsible for maintaining confidentiality of account credentials and for all account activity.
  2. Rubronix Plastseal Pvt. Ltd. will not be liable for unauthorized access due to user negligence.
  3. Payment and personal data is kept secure and encrypted, but no system is fully immune to breaches.
  4. Data may be shared with law enforcement agencies for lawful purposes without user consent.

6. Prices

All prices are in INR and exclusive of taxes, duties, and charges unless stated otherwise. Rubronix Plastseal Pvt. Ltd. reserves the right to update prices without prior notice.

7. Payment

  1. Payment is due within 30 days of invoice for approved credit accounts.
  2. Interest of 18% per annum may be charged on overdue amounts.
  3. Legal costs for recovery of dues will be borne by the Customer.

8. New Accounts

Credit accounts are available only to corporate entities. Non-corporates may purchase goods via cash, cheque, bank transfer, or cards. Bank charges are the responsibility of the Customer.

9. Orders

  1. Rubronix Plastseal Pvt. Ltd. reserves the right to decline trade or accept partial orders.
  2. No order may be cancelled without written approval.
  3. Delivery charges of Rs.200 apply to orders below Rs.7,000.

10. Standard Delivery

Goods are typically dispatched within 4-6 days if in stock. Delivery times are indicative and not guaranteed.

11. Inspection and Defects

Customers must inspect goods upon delivery. Defects or shortages must be reported within 7 days. Liability is limited to replacement, re-performance, or refund.

12. Description

Product descriptions are indicative only and may change. Rubronix Plastseal Pvt. Ltd. shall not be liable for inaccuracies.

13. Fees and Payment

  1. Convenience or additional fees may apply.
  2. All payments must be made only to legitimate bank accounts of Rubronix Plastseal Pvt. Ltd.
  3. Refunds will be made to the original payment method.

14. Usage of Mobile Number and Communication

Users consent to receive communications (SMS, calls, emails) regarding transactions. Marketing communications can be opted out via tejpal.singh@rubronixplastseal.com.

15. Force Majeure

Rubronix Plastseal Pvt. Ltd. shall not be liable for service disruption due to circumstances beyond its control (natural disasters, strikes, government actions, technical issues, etc.).

16. Advertisers and Linked Websites

Rubronix Plastseal Pvt. Ltd. does not control or endorse third-party websites linked on its Website and assumes no liability for their content.

17. Right to Refuse

Rubronix Plastseal Pvt. Ltd. reserves the right to refuse service, suspend accounts, or terminate access for violations of this Agreement or suspicious activity.

18. Right to Cancel

Rubronix Plastseal Pvt. Ltd. may cancel services if information is found to be false, unauthorized, or misrepresented by the User.

19. Fake Calls and Fraudulent Activities

Employees will never ask for sensitive details such as card numbers, CVV, OTPs, or request installation of third-party apps. Any such attempts should be reported immediately.

20. Indemnification

Users agree to indemnify and hold harmless Rubronix Plastseal Pvt. Ltd. from any claims or damages arising from their actions or violations of this Agreement.

21. Miscellaneous

  • Severability: Invalid provisions shall not affect enforceability of remaining terms.
  • Amendments: Rubronix Plastseal Pvt. Ltd. may revise this Agreement from time to time.
  • Confidentiality: Users must maintain confidentiality of any information marked confidential.
  • Feedback: Rubronix Plastseal Pvt. Ltd. may collect feedback to improve services.
  • Privacy Policy: Use of the Website is subject to the Privacy Policy published on the official site.

Rubronix Plastseal Pvt. Ltd. Conditions of Sale

Issue Date of Conditions: October 2014 The Company is predominantly a business-to-business supplier. This catalogue and any special catalogues or product brochures produced by the Company are intended for business customers. Notwithstanding any provisions in these Conditions, the Company does not exclude, restrict, or modify any liability that cannot be excluded, restricted, or modified by law, including liability under the Consumer Protection Act, 1986 (as applicable and amended from time to time). Where statutory provisions apply, or where the Customer is entitled to claim under express provisions of these Conditions (including Conditions 8, 9, 13, and 14), the Company’s total liability shall be limited at its option to that specified in Condition 15 below.

1. Definitions

"Catalogue" means the catalogue (in whatever form, paper or electronic) in which these Conditions are set out. "Company" means Rubronix Plastseal Pvt. Ltd., a company incorporated under the Companies Act, 1956, having its registered office at 213, Rasulpur Rohta, Near Bus Stand, Meerut, Uttar Pradesh-250502, India, trading as Rubronix Plastseal Pvt. Ltd., its successors and permitted assigns. "Conditions" means these terms and conditions. "Contract" means any contract between the Company and the Customer for the sale and purchase of Supplies. "Customer" means the person(s) or company whose order for the Supplies is accepted by the Company. "Goods" means any goods supplied or to be supplied by the Company to the Customer, including packaging and replacements. "INR" means Indian Rupees. "Services" means any services supplied by the Company to the Customer. "Supplies" means any Goods or Services. "In writing" includes electronic communications.

2. Conditions

All orders are accepted subject to these Conditions. These override and exclude any conflicting terms referred to in negotiations, customer documents, or course of dealings. Together with any accepted terms, these Conditions form the entire agreement between the Company and the Customer regarding Supplies. No variation is permitted unless expressly authorised in writing by a director of the Company.

10. Risk and Ownership

Risk of loss or damage to Goods passes to the Customer upon delivery. Ownership remains with the Company until payment in full has been received. The Customer must:
  • Hold Goods as fiduciary bailee until ownership passes
  • Insure Goods at full replacement value
  • Store Goods separately and clearly marked
  • Account to the Company for proceeds of any sale
If payment is not made, or the Customer faces insolvency, the Company may repossess Goods without notice. Mixed or processed Goods pass ownership, but sale proceeds remain in trust until full payment is made. The Company’s rights as unpaid seller remain unaffected.

11. Returns

No Goods may be returned without prior written authorisation. Customers must obtain a Return Material Authorisation (RMA) before returning Goods. All returns are at Customer’s risk and cost. The Company operates a 30-day return policy. Restrictions apply for certain categories, including software, specially constructed items, RoHS materials, and static/moisture-sensitive components once packaging is opened. Unwanted or incorrectly ordered Goods may be subject to a 30% restocking fee (minimum INR 500).

12. Lien

The Company has a general lien over all Goods for unpaid sums. After 14 days’ written notice, it may sell such Goods to recover dues.

13. Performance and Fitness for Purpose

Unless expressly warranted in writing by a director, the Company accepts no liability for performance figures or suitability. Responsibility lies with the Customer. Any advice not confirmed in writing by a director is at Customer’s risk.

14. Warranty/Guarantee

The Company endeavours to pass on manufacturer warranties and, for 12 months after dispatch, will repair, replace, or re-perform defective Supplies caused by faulty design, materials, or workmanship. Exclusions include alterations by the Customer, misuse, failure to follow instructions, or late notification of defects.

15. Liability

The Company is not liable for indirect, consequential, or economic loss, including loss of profits, data, goodwill, or contracts. Total liability is limited to repair, replacement, re-performance, or refund as applicable.

16. Rubronix Plastseal Pvt. Ltd. ProductFind

ProductFind is provided free of charge without liability for availability, accuracy, or timeliness. Responsibility for suitability remains with the Customer.

17. Use of Personal Data

The Company handles personal data in accordance with applicable laws and its Privacy Policy.

18. Intellectual Property Rights

All Supplies may be subject to third-party Intellectual Property Rights. No rights or licenses are granted except for normal use/resale in business. Reproduction of this Catalogue is prohibited without prior consent.

19. Promotions

These Conditions apply to all Supplies purchased through promotional material.

20. Country of Origin

No representation is made regarding the source or origin of Goods unless confirmed in writing. Certificates of origin, where available, are chargeable.

21. Export Controls

Customers must comply with all applicable export/import laws and certify that Goods will not be used for restricted applications, including WMD, military, or prohibited destinations (e.g., Belarus, Cuba, Iran, North Korea, Russia, Syria). Customers bear responsibility for obtaining export licenses.

22. Age Requirement for Certain Goods

Where applicable law requires, Customers confirm they are of the minimum legal age for purchase.

23. Prohibited Applications

Goods are not designed for use in high-risk applications such as nuclear, biological, or chemical weapons, life support, aviation, or other critical systems. Use in such applications is prohibited unless agreed in writing.

24. Force Majeure

The Company shall not be liable for delays or failures caused by events beyond its reasonable control, including natural disasters, war, government actions, or labour disputes.

25. Re-Reeling Service

Available on selected Goods with a minimum order of 150 units. Fees may apply, and eligibility may change.

26. Legal Construction

All Contracts are governed by the laws of India. The Courts of Bangalore, Karnataka, have jurisdiction, though the Company may pursue claims elsewhere.

27. General

Invalid provisions do not affect the remainder of these Conditions. Non-enforcement does not constitute waiver. The Company may assign its rights without notice. Third parties have no enforcement rights. These Conditions supersede all prior terms. Last Updated: October 2014

Rubronix Plastseal´s Terms of Use for “API”

The following Terms of Use for Advanced Program Interface (“API”) govern Your access and use of the APIs provided by Rubronix Plastseal (collectively “Rubronix Plastseal”). As used herein, “You”, “Your” and “Yourself” shall mean the person requesting access to and receiving the API and the API Services on behalf of himself/herself, and the company, business entity or association, or persons on whose behalf You are accessing the API or API Services.

Any materials, software and other applications, information, content, or services provided by Rubronix Plastseal in association with the access and use of Rubronix Plastseal´s APIs, are collectively referred to as “Rubronix Plastseal´s API Services”.

Agreement

By accessing or using the Rubronix Plastseal API Services, You are agreeing to:

  • The Terms of Use for API’s as stated herein; and
  • Rubronix Plastseal´s Standard Terms of Access (available here: Terms of Use | Rubronix Plastseal India)

Except as otherwise provided in these Terms of Use for API, if any provision contained in these specific Terms of Use for API conflict with, or are inconsistent with, any provision in any of Rubronix Plastseal´s Terms of Use or any other supplemental agreement or Rubronix Plastseal´s terms and conditions, the provision contained in these specific Terms of Use for API shall supersede, govern, and control.

If You do not agree, do not use this Advanced Program Interface for any purpose.

Access to Rubronix Plastseal’s APIs

You may not use the Rubronix Plastseal API Services if:

  • You are unable to comply with these Terms of Use for API
  • You do not have the legal authority to bind Yourself (including Your company, business entity or association) to the Terms of Use for API
  • You are prohibited by applicable law from accessing or using the Rubronix Plastseal API Services

Access / Registration / Revocation

Access & Registration

If You are accessing Rubronix Plastseal´s API Services on behalf of a company or business entity, You hereby represent and warrant that You:

  • Agree to these Terms of Use for API on behalf of Yourself (including Your company, business entity or association)
  • Have read, understood, and accept the standard Terms of Access and these Terms of Use for API
  • Are authorized to bind Your company, business entity or association
  • Have registered for a trade account requirement that can be used for payment

To get access to Rubronix Plastseal´s API Services, You must register for a trade account with the option “pay by trade account” and register Yourself/Your entity. Upon approval, You will receive authentication and authorization keys. You must keep these secure and not share them.

Revocation of Access

Violation of these Terms of Use for API or applicable laws entitles Rubronix Plastseal to temporarily or permanently block or revoke access at its sole discretion.

Services / Monitoring / Modifications

Services

Rubronix Plastseal may establish limitations on access, use, requests, and information regarding API Services. You may not circumvent these limitations. Rubronix Plastseal can change these limits at any time.

Monitoring

Rubronix Plastseal will monitor API use to:

  • Improve service quality
  • Identify security issues
  • Control compliance with API Terms

Modifications

Rubronix Plastseal may modify, update, or discontinue API Services at any time. Continued use constitutes acceptance of modifications.

Prohibited Use

You and your representatives may not:

  • Upload, sell, distribute, or transfer Rubronix Plastseal’s API Services
  • Encourage third parties to misuse data
  • Aggregate Rubronix Plastseal’s data with competitors’ data
  • Modify, reverse engineer, decompile, or misrepresent API content
  • Spam, hack, or interfere with system integrity
  • Share API keys with third parties
  • Scrape or mass capture data
  • Use branding or trademarks without approval

Obligation of User: You must clearly identify Rubronix Plastseal as the source of any information received via the API.

Important Note

Anyone with access to the API key can place legally binding orders on Your trade account. Only authorized employees/persons should have access.

Indemnification

You agree to indemnify Rubronix Plastseal against claims arising from misuse or violation of API terms.

Disclaimer

API Services are provided “AS IS” without warranties, including implied warranties of merchantability or fitness for a purpose.

Limitation of Liability

Rubronix Plastseal will not be liable for indirect, incidental, or consequential damages from API use.

Term and Termination

These Terms apply during registration, access, and use. Either party may terminate at any time. Upon termination, You must cease use and delete all cached or stored data.

Miscellaneous

  • Independent Contractors: The relationship between Rubronix Plastseal and You is that of independent contractors.
  • Modification of Terms: Rubronix Plastseal may amend terms; continued use implies acceptance.
  • Applicable Law: Governed by English law; UN Convention on International Sale of Goods does not apply.
